Should customer not meet its contracted URO minimum commitments under this agreement, Yudo system will optimize non-URO bookings ("Overbooking") from other customers to be counted towards the URO of customer under this agreement. Yudo is utilizing confidential proprietary algorithms to determine how many URO nights will be counted towards this agreement based on other customers Overbooking usage. Yudo, at its sole discretion, will determine how many of the missing URO nights (should they exist) will get covered by other customers Overbooking usage (“External URO”). External URO nights will added to customer statement and counted towards customer URO commitments under this agreement.
